Commercial Terms

Fees and Payments

Service fees, payment schedules, and currency are specified in the applicable agreement. Invoices are payable within 30 days of receipt unless otherwise agreed.

Late Payments

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for overdue payments.

Third-Party Services

Our services may integrate with or depend on third-party platforms, APIs, or cloud services. While we strive for compatibility, we are not responsible for:

• Third-party service outages or disruptions
• Changes to third-party APIs or terms of service
• Costs associated with third-party services

Limitation of Liability

To the maximum extent permitted by applicable law:

• KYNVEA's total liability shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or special damages
• This includes loss of profits, revenue, data, or business opportunities

These limitations apply even if we have been advised of the possibility of such damages.

Warranties

Services are provided "as is" and "as available" unless explicitly stated in a signed agreement. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Any specific warranties are detailed in the applicable service agreement.

Indemnification

You agree to indemnify, defend, and hold harmless KYNVEA, its affiliates, and personnel from claims arising from:

• Your breach of these terms
• Your use of our services or website
• Your violation of applicable laws or third-party rights

Termination

Either party may terminate services as specified in the applicable agreement. We reserve the right to suspend or terminate website access for violations of these terms.

Upon termination, confidentiality obligations, limitations of liability, and intellectual property provisions survive.

Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of India, without regard to conflict of law principles.

Dispute Resolution

Parties agree to attempt to resolve disputes amicably through negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, India, unless otherwise specified in a separate agreement.

Amendments

We may update these Terms & Conditions periodically. Material changes will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated terms.

For significant changes affecting existing engagements, we will provide notice as required by applicable agreements.

General Provisions

• Entire Agreement: These terms, together with applicable agreements, constitute the entire understanding

• Force Majeure: We are not liable for delays due to circumstances beyond reasonable control
